Terms of service

1. Agreement and scope

These Terms of Service govern your use of Kadro, including the Kadro macOS desktop application, kadrotools.ai, the waitlist, related downloads, and any free or paid services we make available. The contracting party is Alexandru Popescu, sole trader, established in Romania (“Kadro,” “we,” “us”).

By accessing or using the services, you agree to these Terms and to our Privacy Policy. If you use the services on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” then refers to both you and that entity.

2. Eligibility and accounts

  • You must be at least 13 years oldto use Kadro. If you are under 16 and live in the EEA or the UK, you may need a parent’s consent to use the service in line with local law.
  • To enter into a paid subscription, you must be at least 18 years old, or have verifiable consent from a parent or guardian and the legal capacity to contract under the law of your country.
  • You must provide accurate account information and keep your credentials, API keys, and devices secure. One account per person; do not share credentials.
  • You are responsible for activity that occurs under your account unless it results from our own failure to provide reasonable security. Notify us promptly at contact@kadrotools.ai if you suspect unauthorized use.

3. The services

Kadro is a macOS application that hosts your terminal sessions, local workspaces, NDJSON team notebooks, and third-party agent command-line tools, together with a marketing and account surface at kadrotools.ai. Features may change over time, and some features may be available only on certain plans, operating systems, or devices.

Some features depend on third-party providers or local device capabilities, including payment processors, authentication systems, the macOS Keychain, your filesystem, terminal permissions, and third-party AI agent CLIs. Availability and behavior of those components are governed by their respective providers and are not guaranteed by Kadro.

4. User content and permissions

You retain ownership of the content you create or store with Kadro, including your workspaces, code, prompts, terminal output, NDJSON notebooks, git worktrees, support messages, and any files you upload to a Kadro-operated service.

Most of that content stays on your Mac and is not transmitted to Kadro. If a Kadro feature uploads content to a Kadro-operated service (for example, a hosted sync or share feature in the future), you grant Kadro a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, modify, and display that content only as needed to operate, secure, support, and improve the services for you. This license ends when you delete the content or close your account.

You represent that you have the rights necessary to submit any content or input you give to the services, including inputs you send to a third-party agent CLI through Kadro, and that your use of the services does not infringe or violate the rights of others.

5. Acceptable use

  • Do not use the services for unlawful, harmful, fraudulent, infringing, or abusive activity.
  • Do not interfere with the security, integrity, rate limits, billing controls, or availability of the services.
  • Do not attempt unauthorized access to other users’ accounts, data, devices, workspaces, or systems.
  • Do not upload malicious code, exploit vulnerabilities, scrape or harvest data beyond what we authorize, or bypass plan, subscription, trial, license, or update mechanisms.
  • Do not abuse a third-party agent provider, including by violating that provider’s usage policies through Kadro.
  • Do not use AI-generated output or automation features in ways that violate law, privacy, employment, intellectual property, or platform rules.
  • Do not reverse engineer Kadro to build a competing product, except where reverse engineering is permitted by mandatory law (including the interoperability rights granted by Article 6 of Directive 2009/24/EC).

6. Desktop app, local systems, and third-party agent CLIs

The Kadro desktop app interacts with local files, directories, terminal sessions, the macOS Keychain, and other operating-system capabilities when you choose to enable those workflows. You are responsible for deciding what devices, folders, repositories, commands, and permissions you expose to the app, and for maintaining backups of any work you care about.

The app hosts third-party agent command-line tools — Claude Code (Anthropic), Codex (OpenAI), and Gemini (Google) — that you choose to run inside a Kadro pane. Those CLIs are products of those companies and are governed by their own terms and privacy policies. Kadro does not proxy, log, or retain the prompts, files, tool calls, or model outputs that flow between an agent CLI and its provider. You are responsible for your own accounts, API keys, and usage with each provider, and any costs, rate limits, content policies, or model behavior are between you and that provider.

Kadro is signed and notarized by Apple and uses the Tauri updater to check for new versions hourly and on launch. By using the app you agree that signed updates may be installed automatically. You can disable automatic updates in Settings; if you do, we may stop supporting your version.

Kadro offers a 14-day free trial with no credit card required. When the trial ends, the app continues to function in a reduced mode unless you start a paid plan. Billing is not yet enabled; the rules in this section apply once paid plans launch.

The current price, billing period, and any usage limits for paid plans are shown on the pricing page and at checkout. The price you see at checkout is the price you pay, plus applicable VAT or other taxes. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. By starting a paid subscription, you authorize Kadro and our payment processor, Stripe, to charge the applicable fees, taxes, and renewal charges using your selected payment method.

You can cancel any time from your account; cancellation stops future renewals but does not retroactively refund amounts already paid, except as required by law or as expressly stated by us. We may change pricing, packaging, or plan features from time to time, and will give you reasonable notice (at least 30 days) before any price change affecting your subscription.

EU consumer right of withdrawal. If you are a consumer in the European Union, the United Kingdom, or another jurisdiction with a statutory right of withdrawal, you have 14 days from the start of your paid subscription to withdraw and receive a full refund of that subscription, in line with Directive 2011/83/EU on consumer rights and Romanian Government Emergency Ordinance 34/2014. To exercise this right, email contact@kadrotools.ai within 14 days of the start of your subscription. By starting a paid subscription and beginning to use paid features within the 14-day period, you expressly request that we begin performance of the digital service before the withdrawal period ends and acknowledge that, where mandatory law allows, you may lose the right of withdrawal once performance has fully started.

8. AI features and output disclaimer

You are interacting with an AI system. When you use Claude Code, Codex, Gemini, or any other AI agent inside Kadro, you are interacting with an artificial-intelligence system and not with a human. This notice is provided in accordance with Article 50 of the EU AI Act (Regulation (EU) 2024/1689).

The services may include AI-generated or AI-assisted output, including code, terminal commands, recommendations, prompts, and generated content. AI output may be incomplete, inaccurate, biased, offensive, or unsuitable for your intended use. You are responsible for reviewing and validating AI output before executing it, shipping it, publishing it, or relying on it for legal, financial, medical, employment, security, or other high-stakes decisions. Kadro does not warrant the accuracy, availability, or fitness of any agent CLI or its output.

9. Intellectual property

The services, including our software, branding, site content, the Kadro and Kadro ADE names and marks, and product design, are owned by Kadro or our licensors and are protected by applicable intellectual-property laws. Except as these Terms allow, you may not copy, distribute, modify, reverse engineer, create derivative works from, or otherwise use our protected materials without permission. Open-source components remain subject to their own licenses.

If you send us suggestions or feedback about the product, you grant Kadro a perpetual, irrevocable, royalty-free, worldwide license to use that feedback without obligation to you.

10. Suspension and termination

We may suspend or terminate access if we reasonably believe you violated these Terms, created risk for other users or for us, failed to pay fees, or if we are required to do so by law. Where appropriate, we will give you notice and a chance to cure first.

You may stop using the services at any time and close your account. Sections that by their nature should survive termination — including payment obligations, intellectual property, disclaimers, limitation of liability, and the rights related to content already processed — survive.

11. Disclaimers

The services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation, and any warranty arising from course of dealing or trade usage.

If you are a consumer, your statutory rights under applicable law — including the conformity guarantees in Directive (EU) 2019/770 on the supply of digital content and digital services and the legal guarantees of conformity in Romanian law — apply regardless of this section, and nothing in these Terms limits or excludes them.

12. Limitation of liability

To the maximum extent permitted by applicable law, Kadro and its licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities, even if we were warned of the possibility.

To the maximum extent permitted by applicable law, our aggregate liability for any claim arising out of or relating to the services will not exceed the greater of the amount you paid us for the applicable service during the 12 months before the claim arose, or EUR €100.

Nothing in these Terms limits or excludes our liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any liability that cannot be limited or excluded under mandatory law (including non-waivable statutory consumer rights).

13. Governing law and disputes

These Terms are governed by the laws of Romania, without regard to conflict-of-laws rules. Subject to the consumer protections below, the courts of Bucharest, Romania have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the services, and you consent to personal jurisdiction there.

If you are a consumer habitually resident in the EU, the UK, or another jurisdiction with mandatory consumer-protection rules, this section does not deprive you of the protections of the law of that jurisdiction (including, in the EU, those preserved by Article 6 of Regulation (EC) No 593/2008 (Rome I) and Article 18 of Regulation (EU) No 1215/2012 (Brussels I bis)). You may bring proceedings in the courts of your place of residence, and we may bring proceedings against you only in the courts of your place of residence.

Before formal proceedings, please contact contact@kadrotools.aiwith a description of the dispute. We will try to resolve it within 60 days. EU consumers may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. Changes to these terms

We may update these Terms from time to time. The “Last updated” date at the top of this page tells you when. If we make a material change, we will provide additional notice (in-app, by email, or on this page) before the change takes effect. Your continued use of the services after the updated Terms take effect means you accept the revised Terms. If you do not accept them, stop using the service before the effective date.
