Terms of service

1. Agreement and scope

These Terms of Service govern your use of Kadro Social, including kadrotools.ai and the Kadro Social web app (together, the “service”). “Kadro Social,” “we,” and “us” mean the business that operates the service, established in Romania; the contracting party’s identity is in the Contact section.

By creating an account or using the service, you agree to these Terms and to our Privacy Policy. If you use the service on behalf of a company or other organisation, you confirm that you may bind it, and “you” then means both you and that organisation.

2. Eligibility and accounts

• You must be at least 13 years old to use the service, and old enough to use each social platform you connect under that platform’s rules. If you are under 16 and live in the EEA or the UK, you may need a parent’s consent.
• To buy a subscription you must be at least 18 years old, or have a parent’s or guardian’s consent and the legal capacity to contract under the law of your country.
• Give accurate account information and keep your password secure. One account per person; do not share your sign-in.
• You are responsible for activity under your account unless it results from our failure to provide reasonable security. Tell us promptly at contact@kadrotools.ai if you suspect unauthorised use.

3. The service

Kadro Social lets you connect your own social media accounts, write posts once, adapt them for each platform, publish them immediately or on a schedule, and review analytics for your own accounts. The platforms we support, and the features available on each, are listed on our site and may change over time — for example when a platform changes its API or its review requirements.

The service relies on each platform’s official API. Kadro Social is not affiliated with, endorsed by, or sponsored by X, Bluesky, LinkedIn, TikTok, YouTube, Google, Meta, Facebook, Instagram, or Threads.

4. Connected accounts and publishing

• Authorisation. When you connect a social account, you authorise us to access it within the permissions you grant, as described in our Privacy Policy, and to publish on your behalf the posts you create or schedule. We only publish content you created or approved — in the app, or through an AI app you connected.
• Your accounts, your responsibility. You must be the owner of each account you connect, or be authorised by its owner. You are responsible for complying with each platform’s terms, community guidelines, and advertising or disclosure rules when you publish through Kadro Social.
• YouTube. By connecting a YouTube channel you agree to be bound by the YouTube Terms of Service.
• TikTok. Depending on the option you choose, videos are either published directly or sent to your TikTok inbox as drafts for you to finish and post in the TikTok app. Videos sent through an AI app always go to your inbox.
• AI apps. If you connect an AI app (such as Claude, ChatGPT, or Cursor), it acts on your behalf within the access level you choose, as described in our Privacy Policy. Posts it drafts, schedules, or publishes are your content and your responsibility, exactly as if you had made them in the app — including following each platform’s rules on automated or assisted posting. Review what it does; you can see its activity and disconnect it at any time in your account. We are not responsible for what an AI app generates or for how its provider handles the data you send it.
• X link-in-reply. If you add a link-in-reply, we publish your post and then post your pre-written reply under it according to the timing rules shown in the app. Link-in-reply is limited to 5 per month.
• Delivery. We send scheduled posts at the time you choose, but platforms may delay, reject, alter, or remove posts, and outages or API limits can prevent publishing. Check the status of your posts in the app.

5. Your content

You keep ownership of the posts, media, and other content you create or upload (“your content”). You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transmit, and adapt the format of your content (for example resizing media or fitting text to a platform’s limits), only as needed to provide the service to you — including delivering it to the platforms you choose. This licence ends when you delete the content or your account, except for content already published to a platform, which remains subject to that platform’s terms.

You confirm that you have all rights needed to publish your content, including rights to any music, images, video, trademarks, or likenesses it contains, and that it does not infringe or violate anyone else’s rights or any law.

6. Acceptable use

You must not use the service to:

• publish unlawful, infringing, defamatory, harassing, hateful, sexually exploitative, or violent content, or content that violates a platform’s rules;
• send spam, run coordinated inauthentic behaviour, manipulate engagement or trends, or impersonate any person or organisation;
• connect or post to accounts you do not own or are not authorised to manage;
• interfere with the security, integrity, rate limits, billing controls, or availability of the service or of any platform;
• access other users’ accounts or data, scrape the service, or upload malicious code; or
• resell the service, or reverse engineer it to build a competing product, except where mandatory law allows.

7. Subscription and billing

Kadro Social is a paid subscription, billed monthly or annually; there is no free plan or free trial. The current price and any usage limits are shown on the pricing page and at checkout; the price you see at checkout is the price you pay, plus any applicable VAT or other taxes. Payments are processed by Stripe. By subscribing, you authorise us and Stripe to charge your chosen payment method for the subscription, taxes, and each renewal.

Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from Account → Manage billing; cancellation stops future renewals and you keep access until the end of the period you paid for. Payments already made are not refunded, except as required by law or as set out in our Refund Policy. We will give you at least 30 days’ notice before a price change applies to your subscription, and you can cancel before it takes effect.

EU and UK right of withdrawal. If you are a consumer in the EU, the UK, or another jurisdiction with a statutory right of withdrawal, you may withdraw within 14 days of buying a subscription and receive a full refund, in line with Directive 2011/83/EU and Romanian Government Emergency Ordinance 34/2014. To withdraw, email contact@kadrotools.ai within 14 days of purchase. By starting your subscription and using the service during that period, you ask us to begin providing it immediately; where mandatory law allows, you acknowledge that you may lose the right of withdrawal once the service has been fully provided.

8. Third-party platforms

Social platforms are operated by third parties under their own terms, which they can change at any time. We are not responsible for a platform’s availability, its API limits or changes, the accuracy of the analytics it reports, or its decisions about your account or content — including suspensions, removals, or reduced reach. If a platform withdraws or restricts the access we rely on, we may have to change or stop supporting that platform.

9. Intellectual property

The service — including our software, design, site content, and the Kadro Social name and logo — is owned by us or our licensors and protected by intellectual-property laws. Except as these Terms allow, you may not copy, modify, distribute, or create derivative works from it. Open-source components remain subject to their own licences. Platform names and logos belong to their owners.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use them without obligation to you.

10. Suspension, termination, and deletion

We may suspend or terminate your access if we reasonably believe you violated these Terms, created risk for other users, for us, or for a platform, failed to pay, or if the law requires it. Where appropriate, we will give you notice and a chance to fix the issue first.

You can stop using the service at any time. You can delete your account from Account → Delete account; this immediately cancels your subscription (without a refund for the rest of the current period, unless you are within the 14-day withdrawal period) and deletes your data as described in our Privacy Policy. Posts already published stay on each platform until you remove them there. Sections that by their nature should survive termination — including payment obligations, intellectual property, disclaimers, and limitation of liability — survive.

11. Disclaimers

The service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation. We do not guarantee that any post will be published at an exact time, accepted by a platform, or reach a particular audience or result.

If you are a consumer, your statutory rights — including the conformity guarantees in Directive (EU) 2019/770 on digital content and digital services and the legal guarantees of conformity in Romanian law — apply regardless of this section, and nothing in these Terms limits or excludes them.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, followers, or business opportunities, even if we were warned of the possibility.

To the maximum extent permitted by law, our total liability for any claim relating to the service will not exceed the greater of the amount you paid us during the 12 months before the claim arose, or EUR €100.

Nothing in these Terms limits or excludes liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be limited under mandatory law (including non-waivable consumer rights).

13. Governing law and disputes

These Terms are governed by the laws of Romania, without regard to conflict-of-laws rules. Subject to the consumer protections below, the courts of Bucharest, Romania have exclusive jurisdiction over any dispute arising from these Terms or the service.

If you are a consumer habitually resident in the EU, the UK, or another jurisdiction with mandatory consumer-protection rules, this section does not deprive you of the protection of that law (including, in the EU, the protections preserved by Article 6 of Regulation (EC) No 593/2008 (Rome I) and Article 18 of Regulation (EU) No 1215/2012 (Brussels I bis)). You may bring proceedings in the courts of your place of residence, and we may bring proceedings against you only there.

Before starting formal proceedings, please contact contact@kadrotools.ai with a description of the dispute; we will try to resolve it within 60 days. Consumers may also contact the Romanian National Authority for Consumer Protection (ANPC) at anpc.ro or the consumer-protection authority where they live.

14. Changes to these terms

We may update these Terms from time to time. The “Last updated” date at the top of this page tells you when. If we make a material change, we will notify you by email or in the app before it takes effect. If you continue using the service after that date, the updated Terms apply; if you don’t accept them, you can cancel and delete your account before then.
